Terms of Service

1. Acceptance of Terms

By accessing or using Quovio (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Quovio LLC, a Washington State limited liability company.

2. Description of Service

Quovio is an AI-powered property management operations platform that provides:

  • Property Managers (PMs): Portfolio management tools, AI-assisted tenant triage, compliance automation, work order management, contractor dispatch, and audit trail capabilities.
  • Landlords: Portfolio visibility, rent collection, expense reporting, and document management through PM-managed access.
  • Tenants: AI-assisted maintenance request submission via SMS and web portal (the “Tenant Portal”). No app download required.
  • Contractors: Job dispatch, work order management, and payment processing.

Quovio is an operations tool only. It does not constitute legal advice. While our compliance engine enforces applicable rent caps and notice requirements, final legal responsibility for all notices, disclosures, and tenancy decisions rests with the designated Property Manager of Record.

3. User Accounts and Registration

3.1 Account Types

The Service supports four account types: Property Manager, Landlord, Tenant, and Contractor. Each type has distinct permissions and access levels as defined in our Role-Based Access Control system.

3.2 Registration Requirements

  • Property Managers must provide professional credentials and complete identity verification (KYC) before accessing the full feature set.
  • Landlords and Tenants are onboarded via PM invitation only. Direct registration is not available.
  • Contractors must complete identity and license verification before receiving dispatched jobs.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at security@quovio.ai of any unauthorized access. We are not liable for losses resulting from unauthorized use of your account credentials.

3.4 Accurate Information

You agree to provide accurate, current, and complete information and to keep your account information updated.

4. Subscription Plans and Billing

4.1 Plans

  • Starter Plan: $99/month (≤50 units). All features included.
  • Growth Plan: $249/month (≤150 units). All features included.
  • Scale Plan: $499/month (≤400 units). All features included.
  • Enterprise Plan: Custom pricing (400+ units). All features included.
  • Self-Managed Landlord Plan: $29/month (own portfolio only, no PM access)
  • Landlord Add-on: Free, $19/month, or $49/month depending on tier

4.2 Billing

Subscriptions are billed monthly or annually in advance. All fees are in USD. We use Stripe for payment processing; by subscribing you agree to Stripe's terms of service. We do not store your full credit card information.

4.3 Free Trial

Where applicable, free trials convert to paid subscriptions automatically at the end of the trial period. You may cancel before conversion.

4.4 Refunds

Monthly subscriptions are non-refundable except where required by applicable law. Annual subscriptions may be refunded on a pro-rata basis within 30 days of purchase.

4.5 Plan Changes

Upgrades are effective immediately; downgrades take effect at the next billing cycle. If your unit count exceeds your plan limit, we will notify you and require an upgrade.

4.6 Dispatch Fees

Property Managers are charged a flat $10 platform fee per contractor dispatch. Contractors are not charged any commission, subscription, or platform fees. The dispatch fee covers matching, scheduling, and communication services.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable federal, state, or local law, including Fair Housing laws and landlord-tenant regulations.
  • Discriminate against any person based on race, color, national origin, religion, sex, familial status, disability, or any other protected class under the Fair Housing Act or applicable state law.
  • Input false, misleading, or fraudulent information about properties, tenants, contractors, or work orders.
  • Attempt to reverse-engineer, decompile, or extract the source code or AI models underlying the Service.
  • Scrape, crawl, or systematically harvest data from the Service.
  • Use the Service to send unsolicited communications or spam.
  • Circumvent, disable, or interfere with security features of the Service.
  • Use the Service to process data of individuals under 18 years of age.
  • Share account credentials with unauthorized parties.

6. AI Features and Human Oversight

6.1 AI-Assisted Operations

The Service uses artificial intelligence for tenant triage, work order categorization, compliance alerts, and maintenance cost prediction. All AI outputs are advisory. You retain full responsibility for all final decisions.

6.2 Adverse Tenancy Decisions

The AI system cannot and will not make adverse tenancy decisions. Actions affecting tenancy status — including denial, eviction initiation, or lease termination — require explicit human approval by the designated Property Manager of Record. This is a non-waivable system constraint in compliance with HUD 2024 AI guidance and the Fair Housing Act.

6.3 Compliance Engine

The compliance engine provides automated rent cap calculations, notice timelines, and disclosure requirements based on jurisdiction. You acknowledge that:

  • Jurisdiction data must be accurately set for each property.
  • Regulations change frequently; we maintain the jurisdiction registry on a best-effort basis but cannot guarantee real-time accuracy.
  • You should consult a licensed attorney for legal advice on specific tenancy situations.

6.4 Audit Trail

All AI actions are logged with timestamp, actor, inputs, rationale, and outcome. These logs are accessible in your dashboard and cannot be deleted by users. Audit logs are retained for a minimum of 7 years.

7. Data and Privacy

Your use of the Service is governed by our Privacy Policy, incorporated herein by reference. Key data commitments:

  • No cross-landlord data aggregation. Per California AB 325 (eff. January 1, 2026), we do not aggregate pricing, maintenance cost, or tenancy data across different landlords for any algorithmic purpose.
  • Tenant data isolation. Tenant personal data is accessible only to the PM and Landlord of record for that unit.
  • Audit log immutability. Audit logs cannot be modified or deleted by any user.

8. Intellectual Property

8.1 Our IP

All software, algorithms, models, interfaces, content, and trade secrets embodied in the Service are owned by Quovio LLC or its licensors. These Terms do not grant you any intellectual property rights in the Service.

8.2 Your Data

You retain all rights to the data you input into the Service (“Your Data”). By using the Service, you grant Quovio a limited, non-exclusive license to process Your Data solely to provide the Service to you.

8.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

9. Third-Party Integrations

The Service integrates with third-party services including but not limited to: Twilio (SMS), Stripe (payments), DocuSign (e-signatures), Brevo (email), and Google Cloud Platform (infrastructure). Your use of integrated services is subject to their respective terms of service. We are not responsible for third-party service outages or data practices.

SMS Communications: By opting in to receive SMS messages, you agree to our SMS Messaging Terms of Service. Quovio's SMS program complies with the Telephone Consumer Protection Act (TCPA) and CTIA messaging guidelines. Message and data rates may apply. Reply STOP, CANCEL, QUIT, UNSUBSCRIBE, or END to opt out. Reply HELP for program information. Consent to receive SMS is not a condition of any purchase, service, or tenancy.

10. Confidentiality

You acknowledge that the Service may provide access to confidential information about tenants, landlords, properties, and financial data. You agree to maintain the confidentiality of all such information and use it only for legitimate property management purposes.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUOVIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE; (C) THE COMPLIANCE ENGINE REFLECTS THE MOST CURRENT LEGAL REQUIREMENTS IN YOUR JURISDICTION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOVIO’S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

IN NO EVENT SHALL QUOVIO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quovio LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including Fair Housing laws; or (d) any tenancy decisions you make using AI-assisted outputs from the Service.

14. Term and Termination

14.1 Term

These Terms remain in effect for as long as you use the Service.

14.2 Termination by You

You may cancel your subscription at any time through account settings. Access continues until the end of the current billing period.

14.3 Termination by Us

We may suspend or terminate your account immediately for: material breach of these Terms; violation of Fair Housing laws; non-payment; or if we reasonably believe continued access poses a legal risk.

14.4 Effect of Termination

Upon termination, your right to access the Service ceases. You may request an export of Your Data within 30 days of termination. After 90 days, we may delete Your Data (except audit logs, which are retained per Section 6.4).

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict of laws principles. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for IP or confidentiality violations.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration.

The venue for any court proceedings is King County, Washington.

16. Changes to Terms

We may update these Terms at any time. We will notify you by email or in-app notification at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance. If you do not agree, you must cancel before the effective date.

17. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Quovio.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • No Waiver: Failure to enforce any provision is not a waiver of future enforcement.
  • Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
